Job Description:
1. Finance & Accounts: Determining financial objectives, designing & implementing systems viz-a-viz effective tax planning; ensure adherence to Indian standards. US GAAP reporting for JV Partners.
2. Business Plans: Conceptualizing and implementing strategies for maximizing profitability & revenue generation & realize corporate goals.
3. Project Finance: Liaising and negotiating with banks & financial institutions for availing Term Loans, Working Capital Loans, Short Term Facilities, and Commercial Paper etc.
4. Private Equity Fund Raising: Involved with complete Transaction of Developing an Information Memorandum, Meeting Investors , Business Planning , Discussions , Financial and Legal Due Diligence , Term Sheet discussions etc.
5. Fund Management: Monitoring cash flow transactions and projecting cash requirements for future; arranging disbursement of fund through co-ordination with banks and financial institutions.
6. Budgeting: Formulating budgets and conducting variance analysis to determine difference between projected & actual results to be followed up with corrective actions. Divisional and Profit Centre Budgeting.It included allocation of costs to various profit centers, Half Yearly and Quarterly forecasts, Monthly Projections, variance analysis for the group in India involving close interactions with senior management of the company.
7. Corporate Re-structuring Initiatives: Managing complete procedural formalities pertaining to Demergers, Acquisitions and other restructuring initiatives.
8. Acquisitions Management: Handling the complete process from Acquisition Data Analysis, Term Sheet, Due Diligence , Shareholders Agreement to actual handling of process.
9. Cost Management: Project costing and computation of Pricing for Tenders (Government)
10. Taxation: Filing Tax Returns in India and ensuring timely assessment , Transfer Pricing
11. Secretarial Compliance : MCA and ROC compliance , Registers , Records , Minutes , Demat
12. Agreements : Royalty , License , MOU , Joint Venture , Equity Purchase Agreements , Vendor , Customer , Distributors
13. FOREX: Hedging of foreign exchange risks through forwards and derivatives. Compliance with FEMA for Foreign Investments , Sale , Purchase and License Agreements
14. Report: Framing annual report content of a listed company, drafting Management Discussion and Analysis for the Financial Statements, Directors report, and other content for shareholder information.
15. People Management: Leading, managing & monitoring the performance of team members to ensure efficiency in process operations and meeting of individual & group targets.
Requirements:
1. Expertise in analyzing existing system and procedure, designing internal control systems and facilitate effective decision-making
2. A keen analyst with exceptional relationship management & negotiation skills with proven abilities in liaising with banks, funding institutions, statutory auditors and various regulatory authorities.
